NciteIQ CRM – Terms of Service

Effective Date: March 31, 2026

1. Introduction

Welcome to NciteIQ CRM ("NciteIQ", "the Software", "we", "our", or "us"). NciteIQ is proprietary software owned and operated by NciteIO LLC.

NciteIQ includes our Shopify application (installed through Shopify Admin) and our associated web portal and online surfaces you use with your account (such as CRM, billing, reporting, team tools, and support)—collectively, the "Services". The Services provide customer relationship management (CRM), analytics, and operational tooling for Shopify merchants.

By installing the Shopify application or otherwise using the Services, you ("Merchant", "you", or "your") agree to these Terms of Service ("Terms"). If you do not agree, you must not use the Services.

2. Description of Service

NciteIQ CRM is a software-as-a-service (SaaS) platform that may, depending on your plan and configuration:

  • Sync Shopify store data (including products, orders, customers, inventory, and related fields made available by Shopify APIs) into a secure database
  • Provide CRM-style tools such as customer segmentation, tagging, and task management
  • Offer analytics and insights including revenue, profit, and customer activity (as surfaced in the product)
  • Enable operational workflows such as bulk actions, exports where enabled, and automation aligned with your permissions
  • Support bi-directional operations where you enable features that write or push changes back to Shopify within granted scopes

NciteIQ operates as a multi-tenant system where an account may manage multiple Shopify stores, subject to plan limits and entitlements.

3. Eligibility

You must:

  • Be at least 18 years old
  • Operate a valid Shopify store (for Shopify-connected features)
  • Have authority to install apps and bind the merchant to these Terms on behalf of the store or organization you represent

4. Shopify Integration & Permissions

By installing or connecting NciteIQ to a Shopify store, you authorize us to:

  • Access your Shopify store data via Shopify APIs
  • Receive data via Shopify webhooks where configured
  • Store and process that data in our systems to provide the Services

This may include, subject to Shopify permissions, API versions, scopes, and Protected Customer Data rules:

  • Products
  • Orders
  • Customers
  • Inventory data

You acknowledge:

  • NciteIQ may use persistent access mechanisms (such as offline access tokens) as permitted by Shopify for ongoing sync and features you enable
  • Data is synced and stored for CRM, analytics, reporting, and operational functionality described in the product
  • Exact data categories and sync behavior may change as Shopify and NciteIQ evolve

5. Data Usage & Ownership

NciteIQ Software

NciteIQ (including the Shopify application, web portal, APIs, documentation, and related materials) is proprietary software owned by NciteIO LLC. These Terms grant you a limited, non-exclusive right to use the Software only as part of the Services. Except for your store data (below), no title or intellectual property rights in the Software transfer to you.

Your Data

You retain ownership of your store data. Nothing in these Terms transfers ownership of your Shopify content to us.

Our Use of Data

We use your data solely to:

  • Provide and improve NciteIQ functionality
  • Sync and display store information in the Services
  • Generate analytics and insights available in your workspace
  • Support features such as segmentation, automation, and reporting
  • Operate billing, security, support, and compliance obligations (including Shopify mandatory privacy webhooks where applicable)

We do not sell your personal information or your end customers' personal information.

Data Processing

Data is stored and processed using secure cloud infrastructure (including PostgreSQL and account-based access controls, such as row-level security patterns) as described in our Privacy Policy.

6. Customer Data & Privacy Compliance

If your store includes customer personal data, you agree:

  • You are the data controller (or equivalent role) for that data in relation to your storefront
  • NciteIQ acts as a service provider / processor for such data when we process it on your behalf to provide the Services, subject to Shopify program requirements
  • You must comply with applicable privacy laws (for example GDPR, CCPA/CPRA where they apply)
  • You must obtain necessary consents and provide required notices where the law places that obligation on you
  • You will use NciteIQ in compliance with Shopify's policies and your agreement with Shopify

Our Privacy Policy (published at the URL you configure for the app and portal) supplements these Terms regarding collection and use of information.

7. Account & Security

You are responsible for:

  • Maintaining the security of your Shopify account and any credentials you use for the NciteIQ portal
  • Managing access to your NciteIQ workspace (including users and invitations you issue)
  • All activity performed through your account and by users you authorize

We implement technical and organizational measures intended to isolate tenant data and enforce access based on account membership, as described in our Privacy Policy.

8. Acceptable Use

You agree not to:

  • Use NciteIQ for unlawful purposes or in violation of Shopify's terms
  • Attempt to access other merchants' data or bypass security controls
  • Reverse engineer, probe, or disrupt the Services except as permitted by law
  • Overload, abuse, or misuse system resources or APIs in a way that harms the platform or other merchants
  • Use the Services to send spam or unlawful marketing in violation of applicable law

9. Service Availability

We aim to provide reliable service but do not guarantee:

  • Continuous uptime
  • Error-free operation

Features may evolve over time, including data sync processes, automation, analytics calculations, plan limits, and UI. We may add, modify, or retire features where permitted by law and your agreement with us.

10. Billing & Subscription

NciteIQ may offer paid subscription plans, trials, and usage-based or per-store fees as presented at signup, checkout, or in your billing settings. Billing is typically managed at the account level through our payment processor (such as Stripe), including subscription status, invoices, and customer portal actions where available.

Plans may limit:

  • Number of active stores or seats
  • Features available
  • Usage levels or sync depth

You agree to pay applicable fees when you subscribe or purchase add-ons, and to keep billing information current. Taxes may apply as required by law. Failure to pay may result in suspension or restriction of the Services as permitted by law and the checkout terms presented to you.

If pricing or plan terms are presented separately at purchase, those terms also apply to the extent they do not conflict with these Terms.

11. Data Retention & Deletion

Data is generally retained while your account is active and as needed to provide the Services. Upon uninstall, cancellation, or account deletion:

  • Data may be deleted or made inaccessible within a reasonable timeframe, subject to backup and technical constraints
  • Some information may be retained where required for legal, security, accounting, or operational reasons, as described in our Privacy Policy
  • Shopify mandatory privacy webhooks and Shopify's requirements apply to certain customer and shop data

12. Termination

We may suspend or terminate access if:

  • You materially violate these Terms or our policies
  • We are required to do so by law or by Shopify
  • Your Shopify store becomes inactive, disconnected, or you lose permissions needed for the integration
  • You fail to pay amounts due when we are entitled to suspend for non-payment

You may uninstall the Shopify app at any time via Shopify. You may also close or stop using your portal account subject to any outstanding fees and data retention described in our Privacy Policy.

Provisions that by their nature should survive (including limitations of liability, indemnity, governing law, and dispute-related terms where applicable) will survive termination.

13. Disclaimer of Warranties

NciteIQ is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, and any implied warranties arising from course of dealing or usage.

We do not guarantee:

  • Accuracy of analytics, profit calculations, or reports (which depend on synced data and configuration)
  • Completeness or timeliness of synced data
  • Uninterrupted or error-free operation

14. Limitation of Liability

To the maximum extent permitted by law:

NciteIO LLC shall not be liable for:

Loss of profits

Data inaccuracies

Business interruptions

Indirect or consequential damages

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

15. Indemnification

You agree to indemnify and hold harmless NciteIO LLC from any claims arising from:

Your use of the Services

Your violation of these Terms

Your handling of customer data

16. Changes to Terms

We may update these Terms from time to time. When we do, we will update the Effective Date above and may notify you through the Services, by email if we have your address, or as required by Shopify. Continued use of the Services after the Effective Date may constitute acceptance unless applicable law requires a different consent mechanism.

If you do not agree to revised Terms, you must stop using the Services and uninstall the app where applicable.

17. Governing Law

These Terms are governed by the laws of Arkansas, United States.
