1. Introduction
Welcome to NciteIQ CRM ("NciteIQ", "the Software", "we", "our", or "us"). NciteIQ is proprietary software owned and operated by NciteIO LLC.
NciteIQ includes our Shopify application (installed through Shopify Admin) and our associated web portal and online surfaces you use with your account (such as CRM, billing, reporting, team tools, and support)—collectively, the "Services". The Services provide customer relationship management (CRM), analytics, and operational tooling for Shopify merchants.
By installing the Shopify application or otherwise using the Services, you ("Merchant", "you", or "your") agree to these Terms of Service ("Terms"). If you do not agree, you must not use the Services.
2. Description of Service
NciteIQ CRM is a software-as-a-service (SaaS) platform that may, depending on your plan and configuration:

NciteIQ Software
NciteIQ (including the Shopify application, web portal, APIs, documentation, and related materials) is proprietary software owned by NciteIO LLC. These Terms grant you a limited, non-exclusive right to use the Software only as part of the Services. Except for your store data (below), no title or intellectual property rights in the Software transfer to you.
Your Data
You retain ownership of your store data. Nothing in these Terms transfers ownership of your Shopify content to us.

NciteIQ may offer paid subscription plans, trials, and usage-based or per-store fees as presented at signup, checkout, or in your billing settings. Billing is typically managed at the account level through our payment processor (such as Stripe), including subscription status, invoices, and customer portal actions where available.

You agree to pay applicable fees when you subscribe or purchase add-ons, and to keep billing information current. Taxes may apply as required by law. Failure to pay may result in suspension or restriction of the Services as permitted by law and the checkout terms presented to you.
If pricing or plan terms are presented separately at purchase, those terms also apply to the extent they do not conflict with these Terms.

You may uninstall the Shopify app at any time via Shopify. You may also close or stop using your portal account subject to any outstanding fees and data retention described in our Privacy Policy.

NciteIQ is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement, and any implied warranties arising from course of dealing or usage.

16. Changes to Terms
We may update these Terms from time to time. When we do, we will update the Effective Date above and may notify you through the Services, by email if we have your address, or as required by Shopify. Continued use of the Services after the Effective Date may constitute acceptance unless applicable law requires a different consent mechanism.
If you do not agree to revised Terms, you must stop using the Services and uninstall the app where applicable.
